Terms and Conditions for Faceless Shorts

1. General Provisions

1.1. These Terms of Service (hereinafter referred to as "Terms") govern the use of products and services provided by Faceless Shorts.

These Terms specify and clarify the rights and obligations of the Provider and users of Faceless Shorts (hereinafter referred to as "User").

1.2. Acceptance of Terms

By using Faceless Shorts, registering an account, or purchasing any service offered through Faceless Shorts, the User confirms that they have read, understood, and agree to be bound by these Terms.

1.3. Availability

These Terms are available on the Provider's website and apply to all services provided through FacelessShorts.video.

1.4. Third-Platform Terms

By using features of Faceless Shorts that interact with YouTube (including connecting a YouTube account and publishing videos via the YouTube API Services), you also agree to be bound by the YouTube Terms of Service available at: https://www.youtube.com/t/terms.

2. SERVICE DESCRIPTION

2.1. Service Overview

Faceless Shorts is an AI-powered application that enables Users to generate videos and publish them directly to their social media accounts.

2.2. Subscription Plans

The Provider offers various subscription plans and service packages, the specific features, limitations, and pricing of which are described on FacelessShorts.video.

2.3. Service Modifications

The Provider reserves the right to modify, update, suspend, or discontinue any aspect of the service at any time.

3. ACCOUNT REGISTRATION AND USE

3.1. Account Creation

In order to use Faceless Shorts, the User must create an account by providing accurate and complete information.

3.2. Account Security

The User is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

3.3. Age Requirement

The User must be at least 18 years old or have obtained parental consent to use Faceless Shorts.

3.4. Account Suspension

The Provider reserves the right to suspend or terminate the User's account at any time if the User violates these Terms or if the Provider reasonably suspects such violation.

3.5. Security Breach Notification

The User agrees to notify the Provider immediately of any unauthorized use of their account or any other security breach.

4. ORDERING AND PAYMENT TERMS

4.1. Pricing Information

Information about the services, including description of main features and price (including information about whether the price includes VAT), is provided on the website. The price is always stated in the order form.

4.2. Order Confirmation

By submitting an order through the website, the User confirms their agreement with these Terms. Completing all required fields in the order form is a condition for a valid order.

4.3. Payment Methods

Payment for services may be made via:

• Credit/debit cards (VISA, Mastercard, etc.)
• Bank transfer
• Other payment methods as specified on the website

4.4. Billing Cycles

Payments may be set up as monthly, annual, or one-time charges depending on the selected service plan.

4.5. Payment Obligation

The User must provide the correct payment details. The obligation to pay is fulfilled when the relevant amount is credited to the Provider's account.

4.6. Trial Period

For subscription services, the User may be provided with a trial period. If the User does not cancel during the trial period, payment will be automatically processed for the selected service plan.

4.7. Service Limitation

If payment is not made by the due date, the Provider reserves the right to limit or discontinue provision of services until full payment is received.

4.8. Credits System

Special credits are one-time credits that can be used within Faceless Shorts to animate and regenerate images. They remain available until consumed and are separate from any subscription allowances.

5. NO REFUND POLICY

5.1. Digital Content

Faceless Shorts provides digital content that is delivered immediately upon payment. By making a purchase, the User acknowledges and agrees that they are receiving immediate access to digital content and services.

5.2. Right of Withdrawal Waiver

In accordance with Article 16(m) of the EU Consumer Rights Directive (2011/83/EU), the User explicitly waives their right of withdrawal for digital content where the performance has begun with the User's prior express consent and acknowledgment that they thereby lose their right of withdrawal once the performance has begun.

5.3. Final Sales

Unless explicitly stated otherwise for specific promotions or offers, all sales are final and Faceless Shorts does not provide refunds for any purchased subscriptions or services, whether used or unused.

5.4. Technical Issues

In case of service malfunctions or technical issues, the Provider may, at its sole discretion, offer compensation in the form of service credits or extended subscription periods, but is not obligated to provide monetary refunds.

5.5. Cancellation

Cancellation of a subscription will stop future billing but will not result in a refund for the current billing period.

6. INTELLECTUAL PROPERTY

6.1. Provider Ownership

All intellectual property rights related to Faceless Shorts, including but not limited to software, designs, logos, and other content provided by the Provider, are owned by the Provider or its licensors.

6.2. User Content Ownership

The User owns all right, title, and interest in and to the content they create using Faceless Shorts (including but not limited to videos, images, audio, and text generated through the service). By using the service, the User grants the Provider a worldwide, non-exclusive, royalty-free license to use, reproduce, and process the User's content for the purpose of providing and improving the service.

6.3. Marketing and Promotional License

In addition to the license granted in section 6.2, the User hereby grants the Provider a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and publicly perform the User's generated content (including but not limited to videos, images, audio, and associated metadata) for marketing, promotional, advertising, and demonstration purposes.

This includes but is not limited to:

• Displaying such content on the Provider's website, social media accounts, and other marketing materials
• Using such content in case studies, testimonials, and success stories
• Incorporating such content into promotional videos, presentations, and advertising campaigns
• Showcasing such content as examples of the service's capabilities and effectiveness
• Using such content in trade shows, conferences, and other business development activities

The Provider may use such content with or without attribution to the User, and the User waives any moral rights or rights of publicity in connection with such use. The User may request removal of their content from marketing materials by contacting the Provider via the contact page, though the Provider reserves the right to continue using such content for a reasonable transition period not exceeding 30 days from the date of such request.

6.4. Profile Images for Social Proof

With your consent and in accordance with our Privacy Policy, you grant the Provider a limited, revocable, non-exclusive, royalty-free license to display your publicly available or provided profile image (for example, from Google sign-in or connected social accounts) in anonymized and aggregated testimonial or "social proof" interface elements (such as stacked avatar circles without name attribution) on the website and in marketing materials. You may opt out at any time by contacting the Provider via the contact page; upon opt-out, we will cease future uses within a reasonable period (up to 30 days) and remove images from easily updatable assets.

6.5. Prohibited Actions

The User is prohibited from copying, modifying, distributing, selling, or leasing any part of the Faceless Shorts software, platform, proprietary algorithms, or Provider-owned content without the Provider's explicit permission. This prohibition does not apply to content created by the User using Faceless Shorts, which the User is free to use, distribute, and monetize as they see fit, subject to the licenses granted to the Provider in sections 6.2 and 6.3 above.

6.6. Social Media Accounts

The Provider does not claim ownership of the User's social media accounts or content published on those accounts through Faceless Shorts.

7. USER OBLIGATIONS AND PROHIBITED USES

7.1. Legal Compliance

The User agrees to use Faceless Shorts in compliance with all applicable laws and regulations.

7.2. Prohibited Activities

The User is prohibited from:

• Using Faceless Shorts to create, upload, or share illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Using Faceless Shorts to infringe upon intellectual property rights of any third party
• Attempting to gain unauthorized access to Faceless Shorts systems or networks
• Using automated systems, bots, or scripts to access or interact with Faceless Shorts without prior written permission
• Uploading viruses or other malicious code
• Engaging in any activity that interferes with or disrupts Faceless Shorts

7.3. Platform Compliance

The User is responsible for ensuring that any content created using Faceless Shorts complies with the terms of service of the social media platforms where such content is published.

7.4. Immediate Suspension

The Provider reserves the right to immediately suspend or terminate services if the User violates these prohibitions.

7.5. Content and Music Licensing

The User represents and warrants that they have all necessary rights, licenses, and permissions to use any content, including but not limited to music, audio, images, or other materials, that they provide to or use with Faceless Shorts. The User agrees to indemnify and hold harmless the Provider from any claims, damages, or expenses arising from the User's use of third-party content, including copyright infringement claims.

7.6. Transient Audio Processing

Third-party audio supplied by the User is stored only as a transient, technical step in the automated rendering pipeline and is automatically erased within 24 hours after the final video has been delivered to the User. Such temporary storage has no independent economic significance.

7.7. No Circumvention of Technical Protection Measures

The Provider does not decrypt, remove, or bypass any digital rights-management or other technical-protection measures. If a supplied URL is protected or cannot be lawfully streamed without circumvention, the request is refused.

7.8. Notice-and-Action / DMCA Safe-Harbour

If you believe that material processed through Faceless Shorts infringes your copyright or other rights, please send a detailed notice via our contact page.

• Upon receipt of a valid notice the Provider will, within 48 hours, disable access to the specific content or reject the notice with a reasoned explanation
• The Provider terminates accounts of repeat infringers (three substantiated notices in any rolling 90-day period)
• The Provider voluntarily follows the DMCA safe-harbour procedures

8. LIMITATION OF LIABILITY

8.1. Disclaimer of Damages

To the maximum extent permitted by applicable law, the Provider shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses resulting from:

• The use or inability to use Faceless Shorts
• Unauthorized access to or alteration of the User's transmissions or data
• Statements or conduct of any third party on Faceless Shorts
• Any actions taken in response to violations of these Terms
• Any other matter relating to Faceless Shorts

8.2. No Guarantees

The Provider does not guarantee that:

• Faceless Shorts will meet all of the User's requirements
• Faceless Shorts will be uninterrupted, timely, secure, or error-free
• The results obtained from using Faceless Shorts will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained through Faceless Shorts will meet the User's expectations

8.3. Third-Party Platforms

The Provider does not control third-party social media platforms and is not responsible for any actions or policies of such platforms, including any changes that may affect the User's ability to publish content created using Faceless Shorts.

8.4. AI Content Accuracy

The User acknowledges that AI-generated content may contain inaccuracies or errors, and the Provider does not guarantee the quality, accuracy, or appropriateness of such content for any specific purpose.

8.5. Liability Cap

The Provider's total liability for any claims under these Terms shall be limited to the amount the User has paid to the Provider in the 12 months preceding the claim.

8.6. User Responsibility

The User acknowledges that by using Faceless Shorts to create and publish content, they are fully responsible for such content and any consequences that may arise from its publication.

9. DATA STORAGE AND FAIR USE POLICY

9.1. Data Retention

Unless otherwise specified, the Provider stores User-generated content (videos, texts, images, etc.) for a period of 3 months from creation. The User can download or work with such content during this period.

9.2. Data Deletion

The Provider reserves the right to delete data after 3 months to free up system resources.

9.3. Fair Use

The User agrees to use Faceless Shorts reasonably and not to abuse system resources. The Provider may implement usage limits to ensure fair use of the service by all Users.

9.4. Usage Monitoring

The Provider reserves the right to monitor usage patterns and suspend accounts that show signs of automated or excessive use that could negatively impact service performance for other Users.

10. PRIVACY POLICY

The Provider's Privacy Policy, available on the Faceless Shorts website, forms an integral part of these Terms. By agreeing to these Terms, the User also agrees to the processing of their personal data as described in the Privacy Policy.

11. CHANGES TO TERMS

11.1. Right to Modify

The Provider reserves the right to modify these Terms at any time. The User will be notified of any changes through the Faceless Shorts website or by email.

11.2. Continued Use

Continued use of Faceless Shorts after such modifications constitutes the User's acceptance of the updated Terms.

11.3. Termination if Not Agreeing

If the User does not agree with the updated Terms, they must stop using Faceless Shorts and terminate their account.

12. TERMINATION

12.1. User Termination

The User may terminate their account at any time by contacting the Provider or through the account settings if such functionality is available.

12.2. Provider Termination

The Provider reserves the right to suspend or terminate the User's access to Faceless Shorts at any time, with or without cause and with or without notice.

12.3. Survival of Provisions

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiation.

14. FINAL PROVISIONS

14.1. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14.2. No Waiver

The Provider's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.3. Entire Agreement

These Terms constitute the entire agreement between the User and the Provider regarding Faceless Shorts and supersede all prior agreements between the User and the Provider.
